KapStone Paper and Packaging–WestRock merger
Retained on behalf of KapStone Paper and Packaging Corporation to help assess the competitive effects of its proposed acquisition by WestRock. The $4.9 billion deal was reviewed by the Department of Justice (DOJ) under the Hart-Scott-Rodino Act. Analysis focused on potential overlaps in the production and sale of kraft paper. Bates White submitted a series of white papers opining that there was limited overlap between the parties in a variety of kraft paper markets and assisted KapStone with complying with a second request from DOJ. The merger closed without conditions in October 2018.
