Overview

Patrick Mastrian represented minority shareholders in a shareholder derivative lawsuit against the majority shareholder, alleging the majority shareholder breached his fiduciary duties to the corporation, misappropriated corporate assets for his personal use, and unfairly competed against the corporation by redirecting corporate customers to a newly-formed competing entity in which the majority shareholder held an interest. The lawsuit included a claim for legal malpractice against the law firm concurrently representing the majority shareholder and the corporation. After 8 years of litigation, the case resulted in a multi-million dollar settlement in favor of the minority shareholders and removal of the majority shareholder.
