Under general tax rules, if the government takes your property through eminent domain and pays you condemnation proceeds, you may have to pay capital gains (or any depreciation recapture) tax if the condemnation proceeds exceeds your basis in the property. The Internal Revenue Code of 1986, as amended, however, provides an important exception.

If you own a small business, you may qualify for significant tax savings under section 1202 of the Internal Revenue Code of 1986, as amended (Section 1202). Owners or investors of certain C corporations may be eligible to exclude up to 100 percent of gains from a sale of qualifying stock held for five years. In some cases, the availability of Section 1202 may also reduce or eliminate the burden of double taxation associated with an asset sale and distribution of proceeds.
